Resolution to Establish an Oversight Committee
WHEREAS it is the responsibility of the Board to create one or more standing committees to have and exercise such power and authority as the Board of Directors will specify and as permitted by law;
NOW THEREFORE, BE IT RESOLVED that an Oversight Committee be established as a Standing Committee that reports to the Board;
BE IT ALSO RESOLVED that the Oversight Committee shall be composed of three Directors and one or two representative from the Advisory Committee who are appointed by the Board of Directors for a term of 24 months;
BE IT ALSO RESOLVED that the Oversight Committee shall have the authority to help manage workflow and deliverables, particularly around the 2024 Wikimedia Foundation grant, including hiring contractors, paying contracts and direct project expenses, and processing of reports, among other activity as directed by the Board;
BE IT ALSO RESOLVED that all terms of Board governance—such as conflicts of interest, quorum, or renewals—shall be guided by the Corporation’s bylaws.
BE IT ALSO RESOLVED that the initial members of the committee starting immediately will be: James Heilman, Tim Moody, Anjna Harrar, Deb Rotman, and Jake Orlowitz. If a member steps down or is consistently unavailable the committee will propose to the board as a whole a replacement for approval.

Further details
The Board recognizes that financial needs may fluctuate throughout the fiscal year. Any changes of up to 10% to individual budget line items may be approved by the WPM:Grant Oversight Committee. Any changes over 10%, however, must be approved by the Board.
